Terms and Conditions

Welcome to Modern Protocols. These Terms and Conditions ("Terms") govern your access to and use of our website, digital services, and any related offerings provided by Modern Protocols, a digital agency based in Toronto, Ontario, Canada ("we", "our", "us").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Provided

Modern Protocols offers professional digital services, including but not limited to:

• Web Design and Development
• Digital Marketing
• Branding
• Digital Strategy

Specific deliverables and service scopes are defined in project agreements or service retainers.

2. Client Engagement and Payment Terms

a. Retainer Engagements
Clients engaging us on a retainer basis agree to a minimum three (3) month term, followed by a month-to-month arrangement. Cancellations require a minimum of thirty (30) days’ written notice.

b. Project-Based Engagements
Project-based work typically requires a 50% deposit upfront and 50% upon project completion, unless otherwise specified in the contract.

c. Payment Delays
Late payments may result in the suspension of services until the account is brought current.

3. Intellectual Property

All intellectual property and deliverables remain the property of Modern Protocols until full payment is received. Upon completion and payment, ownership of the final deliverables transfers to the client, unless otherwise agreed in writing.

Modern Protocols retains the right to display work as part of its portfolio, marketing materials, or case studies, unless otherwise specified by the client in writing.

4. Use of Client Data

We may collect, process, or access data in connection with providing our services, including:

• Handling client inquiries
• Managing dashboards and shared documentation
• Delivering marketing communications
• Analyzing traffic via Google Analytics
• Conducting targeted advertising via Google, Meta, etc.
• Scheduling through Google Calendar
• Email marketing through CRM tools like ActiveCampaign

All client data is handled in accordance with applicable Canadian privacy laws. We may act as a data processor on behalf of clients and recommend including relevant provisions in individual contracts or privacy policies.

5. Third-Party Services

Our services may involve the use of third-party platforms including (but not limited to): Webflow, Typeform, VideoAsk, Meta Pixel, Google Analytics, and CRM/email platforms. While we take reasonable steps to ensure integration, we are not responsible for the performance or policies of third-party providers.

6. Limitations of Liability

To the maximum extent permitted by law, Modern Protocols disclaims all liability for any indirect, incidental, or consequential damages, including loss of revenue, profit, data, or business opportunity arising from or related to the use of our services.

7. Termination

Either party may terminate an engagement with thirty (30) days’ notice for any reason. In the event of a breach, termination may be immediate. Upon termination, any outstanding fees become due immediately. Clients will receive any work completed and paid for up to the termination date.

8. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes will be resolved through negotiation and, if necessary, through arbitration in Toronto, Ontario.

9. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
